Updated Terms & Conditions: Quest Systems (AU)

These Terms and Conditions apply to all software services, SMS, and Email communications provided by Quest Systems via the Lead Connector platform. By subscribing to a monthly plan, you ("The Client") agree to these terms.

1. Service Provision & Software

Quest Systems provides a managed CRM and automation platform. This includes a dedicated Australian mobile number for business communications. While Quest Systems provides the infrastructure, the Client is responsible for the content sent to their customers.

2. Recurring Billing & Australian Charges

Subscription: Plans ($197/mo or $297/mo) are billed in AUD every 30 days via the payment method on file.

Carrier & Usage Fees: In addition to the base subscription, "Pass-through" charges apply for SMS, MMS, and Email usage.

Dedicated Number: A monthly lease fee for your dedicated Australian mobile number will be deducted from your account wallet.

Wallet System: Accounts operate on a "Pre-paid Wallet." When the balance falls below $5, it will automatically top up by $10 (or your chosen amount) to ensure no disruption to the Missed Call Text Back or booking services.

3. Missed Payments & Suspension

Failed Payments: If a recurring subscription payment fails, Quest Systems will attempt to re-process the payment over 3 days.

Service Interruption: If payment is not cleared within 3 business days, all automated services (including SMS, Calendars, and Website hosting) will be suspended until the balance is settled.

Late Fee: A $20 AUD administrative fee may be applied to accounts that remain unpaid for more than 7 days.

4. Cancellation & Data

No Lock-in: You may cancel your subscription at any time with 7 days' notice prior to your next billing date.

Refunds: To the extent permitted by Australian Consumer Law, payments for the current billing cycle are non-refundable.

Data Retrieval: Upon cancellation, the Client is responsible for exporting lead data. Quest Systems reserves the right to delete sub-accounts and all associated data 14 days after a cancellation or final non-payment notice.

5. Messaging Compliance (ACMA/A2P)

Consent: The Client warrants that all leads imported or captured have provided "Express Consent" to be contacted via SMS/Email.

Opt-Out: All SMS marketing must include "Reply STOP to Opt-out." Quest Systems automatically handles these requests.

Rates: Standard Australian carrier rates and data charges apply to all outgoing messages.

Quest Systems – Service Agreement & Terms of Conditions

This Service Agreement ("Agreement") is between Quest Systems ("the Provider") and the person or entity purchasing services ("the Client"). By ticking the "I Agree" box or making a payment for any Quest Systems plan, you agree to be bound by these terms.


1. Software & CRM Services (SaaS)

Quest Systems provides access to a managed CRM platform powered by Lead Connector.

Subscription Plans: Services are provided on a recurring monthly basis ($97, $197, or $297 AUD).

Dedicated Numbers: Each sub-account includes a dedicated Australian mobile number. Monthly lease fees for this number are deducted from the Client’s account wallet.

Usage Charges: SMS, MMS, and Email usage are billed as "pass-through" costs. Accounts operate on a pre-paid "Wallet" system. If the balance falls below $5.00 AUD, the system will automatically trigger a top-up of $10.00 AUD (or a pre-agreed amount) using the card on file to ensure no interruption to automated services.

### 2. Website Development & Turnaround

Project Scope: Standard website builds include 5 to 15 pages. Requests for additional pages will be quoted separately.

Timeline: The standard turnaround time is 14–21 business days. This timeline commences only once the Client has provided all necessary "Onboarding Assets" (logos, images, text, and business details).

Modifications: Monthly plans include up to 2 minor modifications per month (e.g., text updates or image swaps). Additional modifications or structural changes are billed at our professional hourly rate of $120.00 AUD per hour, billed in 30-minute increments.

### 3. Intellectual Property & Ownership

The "Lease" Model: All websites are hosted and maintained on Quest Systems’ infrastructure. The upfront design fee grants the Client a license to use the website while their subscription is active.

The Buyout Option: If the Client wishes to own the website design and architecture outright and move to an external host, a Transfer of Ownership Fee of $1,500.00 AUD applies.

Non-Transferable Logic: Upon a buyout, only the visual design and static content are transferable. Proprietary automation logic, CRM workflows, and "Missed Call Text Back" systems are native to Quest Systems and cannot be exported to third-party platforms.

### 4. Payments, Missed Payments & Cancellation

Currency: All prices are in Australian Dollars (AUD).

Failed Payments: If a monthly payment fails, Quest Systems will attempt to re-process the charge. If payment is not cleared within 3 business days, all automated services (including the Website and SMS system) will be suspended.

Cancellation: Clients may cancel at any time by providing 7 days' notice prior to the next billing date.

Refunds: To the extent permitted by Australian Consumer Law, all payments are non-refundable once the billing cycle has commenced.

### 5. Messaging Compliance & Consent

A2P & ACMA Rules: The Client warrants they have obtained express consent from all contacts before sending SMS communications.

Opt-Out: All marketing SMS must include an "Opt-Out" (e.g., "Reply STOP"). Quest Systems automatically manages these requests to ensure compliance with Australian telecommunications laws.

Liability: Quest Systems is not liable for delays in message delivery caused by carrier issues or network compatibility.

### 6. Limitation of Liability

Quest Systems provides enterprise-grade hosting; however, we do not guarantee 100% uptime. Quest Systems is not liable for any loss of business or revenue resulting from technical outages, carrier delays, or account suspension due to non-payment.

SEO & GBP Management

8. SEO & Google Business Profile (GBP) Management

This section applies to all clients on the $197 and $297 monthly plans involving search engine optimization.

8.1 No Guarantee of Rankings

Quest Systems employs industry-standard "White Hat" SEO strategies. However, the Client acknowledges that:

No Specific Rank: Quest Systems cannot and does not guarantee a "#1 Position" or specific page placement for any keyword.

Algorithm Shifts: Search engines (Google, Bing, etc.) frequently update their algorithms. Quest Systems is not liable for fluctuations in rankings or traffic caused by these third-party updates.

GBP Visibility: Rankings in the "Map Pack" or Google Business Profile results are based on proximity and relevance; Quest Systems does not guarantee specific map visibility.

8.2 Google Business Profile (GBP) Risks

Suspensions: Google may suspend profiles for various reasons (address verification, algorithmic flags, etc.). Quest Systems will assist in the appeal process but is not liable for lost revenue or "hidden" profiles during a Google-imposed suspension.

Third-Party Content: Quest Systems is not responsible for negative reviews, user-suggested edits, or "spam" photos posted by the public to the Client’s GBP.

8.3 Client Cooperation & Implementation

SEO is a partnership. The Client agrees that:

Access: Quest Systems is authorized to access the Client’s Website, Google Search Console, and Google Business Profile.

Execution: If the Client fails to approve content or implement technical recommendations (e.g., website speed fixes) within 14 days, Quest Systems is not responsible for the resulting stagnation or decline in SEO performance.

Historical Data: Quest Systems is not liable for the effects of "Black Hat" or poor-quality SEO work performed by previous providers prior to this Agreement.

8.4 Reporting & ROI

Quest Systems provides monthly reporting via the Quest Systems Dashboard. While we track Lead Volume and Conversion Rates, we make no claims regarding the final financial profitability of these leads once they are handed over to the Client’s internal sales or workshop team.
